Introducing Threefold Capital: our approach to active ownership

Threefold Capital is a privately owned investment company established in Sydney in September 2026. This note sets out why the firm was founded and how it works with the businesses it invests in.

Why we founded Threefold Capital

Threefold Capital Pty Ltd was established in Sydney on 10 September 2026 by three founding directors: Shivam Rathi, Mehul Sejwal and Rohan Pandit. The directors own the company and provide its capital. We invest that capital in operating businesses, and we take an active part in how those businesses are run.

We set the firm up because we believe many good private businesses need more than finance. An owner opening a new site, preparing for the next stage of growth or looking for someone to share the load often benefits from a shareholder who reads the numbers closely, sits on the board and is prepared to do some of the work. That is the role Threefold Capital exists to play.

What active ownership means to us

For us, active ownership has three parts.

  • Ownership. We take equity in a business on terms agreed in writing, and we commit capital that we expect to leave in place for years.
  • Governance. Where it is appropriate, a director of Threefold Capital joins the board. That brings regular reporting, a careful reading of the numbers and a share of responsibility for major decisions.
  • Operations. In some investments a director also takes an operating role, working with the management team on planning, performance and the detail of running the business.

The balance between the three depends on the business. Not every investment will include an operating role, and the form of each one is agreed before we invest.

How we assess an opportunity

Every opportunity goes through four stages: assess, structure, govern and operate. Assessment comes first and takes the most time. We look at the business model, the quality of the financial records, cash flow, the lease and other obligations, how concentrated the customer base is, and what a realistic bad year would look like. If the evidence does not support the plan, we do not proceed.

When it does, we agree the structure directly with the owners: the equity we take, the shareholder agreement, board representation, how and when capital is contributed, and who is responsible for what. Only then is capital committed. The four stages are described in more detail in our approach.

Our first investment

In September 2026 we became a shareholder in House of Pickle Botany Pty Ltd, the company developing a seven court indoor pickleball club in Botany, in Sydney's Eastern Suburbs. We hold a seat on the company's board, and one of our directors will take an operating role at the club. The investment and its progress are set out on the House of Pickle Botany page.
