Threefold Capital takes equity in operating businesses and works alongside the people who run them. This page sets out the businesses we look for, what we contribute and how a conversation with us proceeds.

Who we partner with

We partner with the owners and operators of privately held businesses, generally in and around Sydney, where an engaged shareholder can make a practical difference.

Our first investment is in sport and leisure. We are not confined to one sector, but venue, hospitality and service businesses suit the way we work, because decisions made on the floor each day shape their results.

Opportunities we are well placed to consider include:

  • Established businesses with a trading history
  • A new site for a model that already trades elsewhere, as with House of Pickle Botany
  • Owners looking for a shareholder who will also take on part of the work
  • Businesses close enough to Sydney for us to be there often

We do not usually invest in ideas that have not yet traded anywhere, or take stakes that would leave us at a distance with no part to play.

We would rather own part of a few businesses we know well than hold a long list we do not.

What we look for

No checklist settles an investment on its own, but these are the questions we ask of every opportunity.

  • A commercially viable model

    A clear way of earning money that still holds up once the numbers have been tested.

  • Revenue we can understand

    Where the revenue comes from, how dependable it is and what drives it up or down.

  • Evidence of demand

    A trading history, bookings, waiting lists or comparable sites that show customers want what the business offers.

  • Capable people

    Management or operating partners who know the business, report openly and want a partner beside them.

  • Clear financial information

    Records good enough to assess performance, costs and obligations with confidence.

  • Realistic growth

    A credible path to improvement, built on what the business does now rather than on optimistic assumptions.

  • Risk and reward in balance

    A price and a structure that reflect the risks, including a realistic view of the downside.

  • Aligned owners

    Shared expectations about time horizon, reporting and the way decisions are made.

What we contribute

Capital is only part of what a business gets from us. Where it is agreed, we also bring the following.

  • Committed capital

    Equity from shareholders who make their own investment decisions and expect to hold for the long term.

  • Board participation

    A director who reads the numbers closely, asks the next question and helps the business make decisions in good order.

  • Operating time

    Where agreed, a director working alongside your team on planning, performance, local partnerships and events.

  • Patience

    We invest to hold, and we stay involved for as long as we own the stake.

How the conversation works

  1. Initial enquiry

    You send a short overview using the form below: what the business does, where it is, how long it has traded and what you are looking for in a partner.

  2. Preliminary discussion

    A director contacts you to talk it through. We will ask about the business and its owners, and you should ask us just as much.

  3. Information review

    If there appears to be a fit, we agree what information to share and how to share it securely. Where sensitive material is involved, a confidentiality agreement comes first.

  4. Further assessment

    We work through the business in detail, as described in our approach, and visit the site and meet the team.

  5. Commercial discussions

    If the assessment supports it, we discuss structure, terms and responsibilities with you directly.

  6. Potential agreement

    An investment goes ahead only when final terms are agreed in writing and signed by everyone involved.

A conversation commits neither side. Either of us may decide not to proceed at any stage, and no investment is certain until an agreement is signed. If it is not a fit, we will tell you early and plainly.
